Terms & Conditions

These Terms & Conditions (“Terms”) govern access to and use of kiranjewelry.com (the “Site”) and any orders, purchases, memo merchandise, accounts, or other business transactions conducted through the Site.

The Site is operated by Kiran Gems USA Inc. (“Kiran Jewelry,” “Kiran,” “we,” “us,” or “our”). Kiran Jewelry is the brand under which Kiran Gems USA Inc. offers fine jewelry, natural diamonds, and related products and services to authorized independent jewelers and other qualified jewelry businesses.

By accessing the Site, creating an account, submitting an order, or otherwise using the Site for business purposes, you agree to these Terms.

1. Business-to-Business Use

The Site is intended for authorized independent jewelers, jewelry retailers, and other qualified jewelry businesses.

By creating an account or conducting business with Kiran, you represent that you are acting on behalf of a legitimate business and have authority to enter into transactions with us.

Kiran reserves the right to approve, decline, suspend, restrict, or terminate any account or business relationship at its discretion, subject to applicable law and any separate written agreement between Kiran and the customer.

2. Accounts

Certain Site features may require an account.

You are responsible for providing accurate, current, and complete business and contact information and for keeping that information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account. You must promptly notify Kiran of any unauthorized access or suspected security issue.

Creating an account constitutes acceptance of these Terms.

3. Products and Product Information

Kiran offers fine jewelry and natural diamonds through the Site and through direct business relationships with qualified retailers.

Product descriptions, photographs, specifications, availability, pricing, and other information are provided for business and purchasing purposes and may change without notice.

The availability of a product displayed on the Site does not constitute a guarantee that the product will remain available until an order is accepted.

Kiran reserves the right to correct errors, inaccuracies, or omissions and to update product information at any time.

4. Wholesale Pricing and Confidential Commercial Information

Wholesale pricing, customer-specific pricing, inventory information, memo terms, commercial terms, product availability, and other non-public business information provided by Kiran are confidential.

You may use such information solely for evaluating, purchasing, selling, or otherwise conducting authorized business with Kiran.

You may not disclose, publish, forward, distribute, reproduce, scrape, or otherwise provide confidential Kiran commercial information to unauthorized third parties.

5. Orders

Submitting an order through the Site or otherwise requesting merchandise does not by itself constitute Kiran’s acceptance of the order.

An order becomes binding upon Kiran’s confirmation or acceptance.

Kiran may decline or cancel an order where, for example, merchandise is unavailable, pricing or product information contains an error, the customer’s account is not in good standing, payment or account information cannot be verified, or other legitimate business circumstances prevent fulfillment.

6. Payment

Kiran may accept payment by methods including check, bank transfer, wire transfer, or other methods made available or agreed upon by Kiran.

Payment terms may vary by customer and may be subject to separate written agreements.

Kiran may require payment before shipment or fulfillment depending on the customer, order, merchandise, or commercial arrangement.

Kiran may suspend fulfillment or restrict account activity when amounts due are not paid in accordance with applicable payment terms.

7. Title and Risk of Loss

Unless a separate written agreement provides otherwise, title to and risk of loss for purchased merchandise transfer to the customer as soon as the merchandise leaves Kiran’s premises.

The customer is responsible for the merchandise after it leaves Kiran’s premises, including responsibility for loss, theft, damage, or disappearance during transit or thereafter, subject to applicable law and any separate written agreement.

8. Shipping and Fulfillment

Kiran ships merchandise within the United States.

For orders placed before 5:00 PM Eastern Time, Kiran generally intends to arrange overnight shipping, subject to product availability, payment or account approval, processing requirements, carrier availability, security procedures, and other applicable circumstances.

Shipping timelines are estimates unless Kiran expressly confirms a guaranteed delivery date in writing.

Once merchandise leaves Kiran’s premises, responsibility for the merchandise transfers to the customer as provided in Section 7.

9. Memo and Sample Merchandise

Unless otherwise agreed in writing, memo and sample merchandise remains the property of Kiran.

The retailer is fully responsible for memo or sample merchandise while it is in the retailer’s possession or control, including responsibility for loss, theft, damage, disappearance, unauthorized transfer, or failure to return the merchandise when required.

The retailer may not sell, transfer, pledge, alter, modify, or otherwise dispose of memo merchandise except as expressly authorized by Kiran.

Kiran may require additional security, insurance, deposits, or other protections for memo or high-value merchandise depending on the customer or commercial arrangement.

If memo merchandise is lost, stolen, damaged, not returned, or otherwise disposed of without authorization, Kiran may require payment of the applicable value of the merchandise and may exercise any other rights available under the applicable agreement or law.

Separate written memo agreements or terms may impose additional requirements and will control in the event of a conflict with these Terms.

10. Custom and Engraved Jewelry

Custom and engraved products are produced according to specifications approved by the customer.

Once production of a custom or engraved piece has begun, the order may not be cancelled, returned, refunded, or replaced.

The customer is responsible for reviewing and approving applicable specifications, including measurements, design details, engraving text, and other requested customization, before production begins.

11. No Returns, Refunds, or Replacements

All sales are final. Kiran does not accept returns and does not provide refunds or replacements for purchased merchandise.

This policy applies to standard merchandise, custom merchandise, and engraved merchandise, subject to any rights that cannot lawfully be waived under applicable law.

Any exception must be expressly authorized by Kiran in writing.

12. Account Suspension or Termination

Kiran may suspend, restrict, or terminate an account or business relationship where appropriate, including for:

• Late or delinquent payments;
• Failure to provide required or timely reporting;
• Failure to return memo merchandise when required;
• Loss, theft, damage, or unauthorized disposition of memo merchandise;
• Unauthorized sharing of confidential commercial information;
• Fraudulent, unauthorized, or improper use of the Site or account;
• Material violation of these Terms or a separate written agreement.

Termination or suspension does not eliminate any payment, return, confidentiality, or other obligations that arose before termination.

13. Intellectual Property

The Site and its content, including text, photographs, graphics, logos, product presentations, designs, trademarks, trade names, and other materials, are owned by or licensed to Kiran and are protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, copy, publish, or commercially exploit Site content without Kiran’s prior written permission.

14. Prohibited Uses

You may not use the Site or Kiran’s information to:

• Violate any applicable law or regulation;
• Gain unauthorized access to accounts or systems;
• Scrape, crawl, or systematically collect Site information without authorization;
• Misrepresent your identity or business affiliation;
• Share confidential pricing or commercial information with unauthorized parties;
• Interfere with Site security or operation; or
• Engage in fraudulent, deceptive, or unauthorized activity.

15. Privacy and Cookies

Kiran’s collection and use of personal information is described in the Kiran Jewelry Privacy Policy.

The use of cookies and similar technologies is described in the Kiran Jewelry Cookie Policy.

These policies form part of the Site’s overall terms and are incorporated by reference where applicable.

16. Electronic Communications and Acceptance

By creating an account, submitting an order, or otherwise using the Site for business purposes, you consent to receive electronic communications relating to your account, orders, transactions, inventory, products, pricing, memo merchandise, and other business matters.

Creating an account or placing an order constitutes electronic acceptance of these Terms.

Kiran may maintain records of electronic acceptance, account activity, orders, and related communications.

17. Separate Written Agreements

These Terms establish the general terms governing use of the Site and Kiran’s business relationship with customers.

A separate written purchase agreement, memo agreement, credit agreement, customer-specific agreement, or other written commercial agreement between Kiran and the customer will control over these Terms to the extent of any conflict.

18. Third-Party Services and Links

The Site may contain links to or rely on third-party services, including payment, shipping, technology, hosting, security, or other providers.

Kiran is not responsible for the content, availability, policies, or practices of third-party websites or services.

19. Site Availability and Disclaimers

The Site and its content are provided on an “as available” basis.

Kiran does not guarantee that the Site will always be available, uninterrupted, secure, or error-free, or that product information or availability will always be current or free from errors.

Nothing in these Terms limits any rights or obligations that cannot lawfully be limited or excluded.

20. Limitation of Liability

To the fullest extent permitted by applicable law, Kiran will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the Site, merchandise, transactions, or these Terms.

Kiran’s liability, where applicable, will be limited to the fullest extent permitted by law.

21. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Kiran Gems USA Inc., Kiran Jewelry, and their respective officers, directors, employees, and representatives from claims, losses, liabilities, damages, and reasonable expenses arising from your violation of these Terms, misuse of the Site, unauthorized use of Kiran information, or violation of applicable law or third-party rights.

22. Changes to These Terms

Kiran may update these Terms from time to time.

Updated Terms will be posted on the Site with a revised effective date. Your continued use of the Site or placement of orders after updated Terms are posted constitutes acceptance of the updated Terms to the extent permitted by applicable law.

23. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

To the extent permitted by applicable law, disputes arising from or relating to these Terms or the Site will be brought in the state or federal courts located in New York County, New York, and you consent to the jurisdiction and venue of those courts.

24. General Provisions

If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

Kiran’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or of Kiran’s right to enforce it later.

These Terms, together with applicable written commercial agreements and the policies referenced herein, constitute the terms governing use of the Site and related business transactions, subject to any separate agreement that controls under Section 17.
